Sun Pharma Eyes Global Expansion as SBI Joins $11.75 Billion Organon Dea
India’s Largest Bank Supports Historic Purchase

The State Bank of India (SBI) has joined a group of top global banks to help fund Sun Pharmaceutical Industries’ proposed $11.75 billion acquisition of Organon, one of the largest cross-border deals in the pharmaceutical sector. The deal also signals the growing importance of Indian banks in funding big global acquisitions by local companies and the increasing comfort with Sun Pharma’s growth approach.

The deal is likely to add to Sun Pharma’s portfolio of branded medicines and speciality healthcare products and increase its presence in overseas markets. Industry experts expect the acquisition to considerably expand the company's international footprint, particularly in women's health and mature medicines, where Organon has a strong presence.

Global Banks Consortium to the Rescue

SBI is part of a group of international lenders that will provide funding for the transaction, according to reports. The consortium of banks is expected to offer a combination of loans and structured financing to facilitate the acquisition. These are fairly common in large cross-border mergers where several financial institutions share the funding and risk responsibilities.

For SBI, the participation in the deal showcases its growing ability to fund large international transactions involving Indian companies. Over the last few years, the bank has ramped up its overseas lending business with a focus* on sectors such as pharmaceuticals, infrastructure and manufacturing.

Sun Pharma’s strategic move

If it goes through, the acquisition would be a major milestone for India’s largest drug maker by market value. Sun Pharma’s operations in North America, Europe and other emerging markets will be strengthened by Organon’s diverse portfolio of medicines and its established global distribution network.

The company has always been about moving away from generics to speciality and innovative therapies." Analysts believe the proposed acquisition is part of this long-term strategy and could bring better revenue diversification and new growth opportunities in the future.
